Terms of Service - Aalavaya Mail Merge Pro

1. Acceptance of Terms

By installing, accessing, or using Aalavaya Mail Merge Pro ("the Service"), provided by Aalavaya Software Private Limited ("Aalavaya", "we", or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users of the Google Workspace Add-on, website, and backend API.

2. Description of Service

Aalavaya Mail Merge Pro is a Google Workspace Add-on that allows you to send personalized bulk emails directly from Google Sheets. The Service includes AI-powered email writing, reusable templates, campaign scheduling, automated follow-up emails sent after a delay you configure, email verification, and related features depending on your plan.

3. Account & Eligibility

You must have a valid Google account to use the Service
You must be at least 18 years of age
You are responsible for all activity under your account
You must provide accurate information when registering
One license is valid for one Google account unless otherwise specified by your plan

4. Plans & Payment

The Service offers Free, Starter (₹399/month), Premium (₹999/month), and Professional (₹2,499/month) plans
Paid access is purchased through Razorpay for a one-month period. Payments do not automatically renew
To continue a paid plan after the current paid period, you must purchase the next period. If you do not, your account returns to the Free plan when the paid period ends
Prices are in Indian Rupees (INR) and are exclusive of applicable taxes
Your paid plan activates immediately upon successful payment
Daily limits reset each day, and monthly limits (monthly emails, campaigns) reset at the start of each calendar month (UTC)
Unused quota does not carry over to the next day or month
We reserve the right to change pricing with 30 days' prior notice

5. Acceptable Use Policy

You agree NOT to use Aalavaya Mail Merge Pro to:

Send unsolicited bulk emails (spam) or messages to people who have not opted in
Send content that is illegal, harmful, threatening, abusive, defamatory, or obscene
Engage in phishing, fraud, or impersonation
Distribute malware, viruses, or harmful code via attachments or links
Violate any applicable laws including CAN-SPAM, GDPR, IT Act (India), or local email marketing regulations
Harvest or scrape email addresses without consent
Send emails to purchased or rented email lists
Circumvent or attempt to circumvent plan limits or security measures
Resell, sublicense, or redistribute the Service without written permission
Reverse engineer, decompile, or attempt to extract the source code of our backend systems

6. Email Sending Responsibility

You are solely responsible for the content of emails and messages you send using the Service. You must comply with all applicable anti-spam laws and regulations. You must maintain valid unsubscribe mechanisms (provided by our built-in unsubscribe feature) and honor unsubscribe requests promptly. We reserve the right to suspend or terminate accounts that generate excessive spam complaints or bounce rates.

7. Service Limits & Fair Use

Google applies daily email recipient quotas to Apps Script email sending. The applicable quota depends on the type and status of your Google account (see Google's Apps Script quotas). Aalavaya Mail Merge Pro also applies plan-specific usage limits. Your effective sending capacity is subject to both your Aalavaya Mail Merge Pro plan and Google's current quota, and Aalavaya Mail Merge Pro cannot raise or bypass Google's quota
Google Apps Script has a 6-minute execution timeout — large campaigns may need to be sent in batches
AI features depend on third-party API availability (Google Gemini, OpenAI)
We reserve the right to throttle or temporarily restrict access if usage threatens service stability

8. Intellectual Property

Aalavaya Mail Merge Pro, including all code, design, logos, and documentation, is owned by Aalavaya Software Private Limited
Your use of the Service, on the Free plan or a paid plan, is under a non-exclusive, non-transferable license
Email templates you create remain your intellectual property
Content generated by AI features is provided as-is — you are responsible for reviewing and using it appropriately

9. Expiry & Refunds

Paid plans do not renew automatically, so there is no recurring payment to cancel
Your paid plan stays active until the end of the one-month period you purchased
When that period ends, your account returns to the Free plan unless you purchase another period
Refunds are available within 7 days of purchase if you have not used more than 10% of your plan's monthly quota
Refund requests must be sent to support@aalavaya.com with your payment ID
No refunds are issued for partial months or after the 7-day window

10. Service Availability & Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted service
The Service depends on Google's infrastructure — outages on Google's end are outside our control
We may modify, update, or discontinue features with reasonable notice
Critical security updates may be applied without prior notice

11. Limitation of Liability

To the maximum extent permitted by law, Aalavaya Software Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that emails will be delivered to recipients' inboxes — deliverability depends on many factors outside our control including sender reputation, content quality, and recipient email provider policies.

13. Termination

We may suspend or terminate your account if you violate these Terms
Accounts generating spam complaints may be terminated immediately without notice
Upon termination, your access to paid features ceases immediately
Data stored in your Google Sheets remains yours and is not affected by termination
Data stored on our servers for your account (account profile, plan status, usage counts, campaign metadata and unsubscribe records) will be deleted within 30 days of account termination, except records we must keep for legal, tax, accounting, fraud-prevention or security reasons
You may also ask us to delete your account and data at any time by emailing support@aalavaya.com. Deletion is carried out manually as described in Section 7.1 of our Privacy Policy

14. Indemnification

You agree to indemnify and hold harmless Aalavaya Software Private Limited, its officers, employees, and partners from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights including anti-spam laws.

15. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Before filing any legal claim, you agree to attempt resolution through informal negotiation for at least 30 days.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance. If you disagree with updated terms, you may stop using the Service and choose not to purchase further paid periods before they take effect.
